Terms of Service

These terms are a contract between you and Counterpoint Studio OÜ ("we", "us", "Motif"). By downloading or using Motif, you agree to these terms. Please read them carefully.

The Service

Motif is a soundtrack planning and playback tool designed for yoga and movement teachers. The service includes the Motif app, its cloud-based backend, and the music available through the app.

Motif is currently in private beta and is provided free of charge. We may end or suspend the beta at any time with reasonable notice to participants. When the beta period ends, we intend to introduce paid plans and will notify you in advance of any pricing and the terms that will apply.

Beta Access

Access to the beta is by invitation only. Your access is personal and may not be shared or transferred. We may revoke access if these terms are violated.

The Music

Music available through Motif is owned by us or our licensors. Motif is a real-time soundtracking tool for your teaching practice. We grant you a non-exclusive, non-transferable licence to use Motif music as the soundtrack to your own teaching, specifically:

  • Live and in-person classes
  • Real-time livestreamed classes
  • Short-form clips for social media (e.g. reels, stories) where Motif music is incidental background

During the beta, the licence does not cover producing pre-recorded content for public distribution or sale — such as on-demand class videos on YouTube, paid online courses, downloadable workout videos, or podcast-style recordings. If you want to use Motif music in that kind of content, please get in touch; we may offer this as a separate licence in the future.

You may also not:

  • Redistribute Motif music as standalone audio files, stock music, or sample packs
  • Extract stems or individual samples from Motif output
  • Sublicence the music to other people or studios
  • Register Motif output with a collecting society, Content ID, or similar rights-management system
  • Use Motif audio or outputs to train AI or machine-learning systems

Attribution. If you credit Motif in livestream descriptions or social clips where space allows — for example, "Music: Motif — movewithmotif.com" — we appreciate it, but it's not required.

If you have used Motif music as the live soundtrack for a class that was livestreamed and saved, or for a short social clip, that content may remain published even if you later stop using Motif or the beta ends. The licence for content that was permitted under these terms at the time of publication survives termination.

Your Responsibility

Motif is a soundtrack tool, not a yoga instruction service, therapy service, or medical product. You are responsible for your own class design, pacing, participant suitability, and maintaining a safe environment, including safe audio volume levels.

Intellectual Property

The Motif app, service, and music catalogue are owned by or licensed to Counterpoint Studio OÜ. You may not copy, modify, or distribute any part of the app or its content without our written permission, except as expressly allowed by these terms.

Changes to the Service

During the beta, we regularly release bug fixes, improvements, and new features. We may also make larger changes to how Motif works. For material changes that significantly affect your use of the service, we will give you reasonable notice. If a material change is not acceptable to you, you may stop using Motif.

Beta Disclaimers

Motif is in early development. During the beta, we do not guarantee uptime, availability, or that the service will be free of bugs. Features may change, and data such as session plans may not be preserved between updates.

To the extent permitted by applicable law, we provide the beta service without warranties of any kind. Nothing in these terms limits any rights that cannot lawfully be excluded, including any mandatory statutory rights you may have as a consumer under the laws of your country of residence.

Liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be excluded.

Subject to the above, our total liability to you in connection with the beta service is limited to the amount you have paid us for the service (currently zero).

Termination

You may stop using Motif at any time. We may end your beta access with reasonable notice. On termination, your right to use the app and service ends, but the music licence for content you have already published survives as described above.

Governing Law

These terms are governed by the laws of Estonia. If you are a consumer within the European Economic Area, you also retain any mandatory protections provided by the laws of your country of residence.
